Terms of Service

These Terms of Service ("Terms") govern access to and use of the Thor credit management platform, including our websites at jointhor.com and app.jointhor.com, and any related applications, integrations, and services (together, the "Service"). The Service is provided by Thor ("Thor," "we," "us," or "our").
By creating an account, connecting a third-party service such as Microsoft Outlook, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
Our Privacy Policy explains how we collect and use information and is incorporated into these Terms.
1. The Service
Thor provides software for B2B credit and accounts receivable teams, including digital credit applications, risk monitoring, collections workflows, and related integrations with ERPs, credit bureaus, email, and other tools you choose to connect.
We may change, suspend, or discontinue features of the Service from time to time. We will use reasonable efforts to avoid material disruption, but we do not guarantee that any particular feature will remain available.
2. Accounts and eligibility
You must provide accurate account information and keep it current. You are responsible for:
- Maintaining the confidentiality of login credentials and connected accounts
- All activity that occurs under your account
- Ensuring that only authorized users access the Service
The Service is intended for business use. You must be at least 18 years old and able to form a binding contract.
3. Customer data
You retain ownership of data, content, and materials you or your users submit to the Service, including customer records, credit applications, invoices, communications, and files ("Customer Data").
You grant Thor a limited license to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service, and to comply with law. We do not claim ownership of Customer Data.
You represent that you have all rights and consents needed to provide Customer Data to Thor and to use the Service in connection with your customers and counterparties.
4. Microsoft Outlook and other integrations
The Service may allow you to connect third-party accounts, including Microsoft 365 and Outlook, so Thor can send email and related communications on your behalf.
If you connect Outlook or another Microsoft account:
- You authorize Thor to access the Microsoft APIs and mailbox permissions you grant, solely to operate the connected features (for example, sending collection or credit-related email from your mailbox)
- Your use of Microsoft products remains subject to Microsoft's terms and privacy statement
- You may disconnect the integration at any time from your Thor or Microsoft account settings
- Thor does not use Microsoft user data to serve advertising, and does not sell Microsoft user data
We are not responsible for third-party services, their availability, or changes they make to APIs, permissions, or terms.
5. Acceptable use
You will not, and will not allow others to:
- Use the Service in violation of law, including anti-spam, privacy, and collections laws
- Send unsolicited bulk email or deceptive communications through connected mailboxes
- Attempt to access accounts, systems, or data that are not yours
- Interfere with or disrupt the Service, including by introducing malware
- Reverse engineer, scrape, or copy the Service except as allowed by law
- Resell or sublicense the Service except under a written agreement with us
6. Fees and payment
Paid plans are billed according to the pricing and terms presented at signup or in an order form. Fees are non-refundable except as required by law or as we expressly agree in writing. We may change pricing with reasonable notice before the next billing period.
If payment is overdue, we may suspend access to the Service until the account is current.
7. Intellectual property
Thor and its licensors own the Service, including software, design, trademarks, and documentation. These Terms do not grant you any right to our trademarks or branding except as needed to use the Service.
Feedback you provide may be used by Thor without restriction or compensation.
8. Confidentiality
Each party may receive confidential information from the other. The receiving party will use that information only to perform under these Terms and will protect it with at least reasonable care. This obligation does not apply to information that is public, already known, independently developed, or rightfully received from a third party.
9. Disclaimers
The Service, including credit scores, recommended credit limits, risk alerts, and similar outputs, is provided for informational support of your own credit decisions. Thor is not a consumer reporting agency, credit bureau, law firm, or collection agency, and does not guarantee any particular credit, collection, or financial outcome.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO THOR FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
11. Indemnification
You will indemnify and hold harmless Thor and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising out of Customer Data, your use of the Service, your communications sent through connected email accounts, or your violation of these Terms or applicable law.
12. Term and termination
These Terms apply until terminated. You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service.
After termination, we may delete Customer Data in accordance with our Privacy Policy, except where we are required to retain it. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
13. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules. Courts located in Delaware will have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
14. Changes
We may update these Terms from time to time. The updated version will be posted at this URL with a revised date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If a change is material, we will provide additional notice where reasonably practicable.
